WHEREAS the Board of Directors of The Friends of the MUHC ('the Corporation') deemed it to be in the best interests of the Corporation, to grant any director on the board the opportunity to remain on the board beyond ten (10) consecutive years, the directors of the Corporation approved an amendment to the Corporation's ByLaws on June 3, 2025 that Section 4.01 be deleted and replaced with the following:

 

4.01 Election and Term of Office of Directors

Without limitation to the right of directors to elect additional directors as stated in the Articles of the Corporation, the members will elect the directors at the annual meeting of the members and each director shall hold office for a term expiring not later than the close of the next annual meeting of the members following the election.
